 1. ABOUT GYAANBATO CIC

GyaanBato is a Community Interest Company (CIC) incorporated in England and Wales, as a private company Limited by Guarantee (the "Company", "we", "us", "our"). We operate the digital platform at gyaanbato.com (the "Platform"), which publishes research reports, editorial content, structured community debates and educational resources across 27 topic categories, serving a global audience with an initial focus on India and South Asia.

As a Community Interest Company, GyaanBato is required by law to demonstrate that its activities benefit the community and not merely its members or directors. Our community interest statement, filed with the CIC Regulator, commits us to:

- Advancing education and public knowledge through freely accessible research

- Applying a defined percentage of net revenues to charitable causes focused on education and healthcare access for those in need

- Operating transparently through annual Community Interest Reports

The CIC structure provides legal protection for our social mission. Our articles of association include an asset lock — meaning that on winding up, our assets are transferred to another asset-locked body with a similar community purpose, never distributed to members or directors for personal gain. This structure cannot be changed without regulatory approval from the CIC Regulator.

2. DEFINITIONS

"Platform" — The website at gyaanbato.com, including all pages, reports, tools and features.

"Report" — Any research document, analysis, article or editorial content published on the Platform.

"User", "you" — Any individual who accesses, browses, registers on or makes a purchase from the Platform.

"Registered User" — A User who has completed the registration process and accepted the Community Pledge.

"Contribution" — A voluntary payment made to access a paid or premium Report.

"CIC" — Community Interest Company — a UK legal structure for social enterprises under the Companies (Audit, Investigations and Community Enterprise) Act 2004.

"CIC Regulator" — The Regulator of Community Interest Companies, part of Companies House.

"Community Interest Report" — Our annual statutory report to the CIC Regulator demonstrating community benefit.

"Asset Lock" — The legal restriction in our articles preventing distribution of assets except to other asset-locked bodies.

"Causes" — The charitable activities and beneficiary organisations to which we commit a percentage of net revenues.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age and Capacity

You must be at least 16 years of age to use this Platform. Users aged 16 to 17 should obtain parental or guardian consent before registering or making any Contribution. By using the Platform, you confirm you have the legal capacity to enter into a binding contract in your jurisdiction.

3.2 Registration

Registration is voluntary but required to participate in debates, use community features and earn community coins. You agree to provide accurate, current and complete information during registration and to update that information if it changes. You are responsible for maintaining the security of your account credentials and for all activity conducted through your account.

3.3 Community Coins

Registered Users receive 200 welcome coins upon registration. Coins are awarded for community participation and may be spent on debate posts (1 coin per post). Coins have no monetary value, cannot be exchanged for money or goods, cannot be transferred between users, and are forfeited if an account is suspended or terminated for violation of these Terms.

4. COMMUNITY PLEDGE AND CODE OF CONDUCT

Registration requires acceptance of our Community Pledge. The Pledge reflects our commitment as a CIC to fostering a respectful, evidence-based and inclusive community. By accepting the Pledge, you agree to the following standards in all your interactions on the Platform:

- Respect: Treat all community members with dignity and respect regardless of caste, religion, ethnicity, nationality, gender, sexual orientation, disability or socioeconomic status.

- No Hate Speech: You will not post content that incites hatred, discrimination, violence or hostility against any individual or group. Violation results in immediate account suspension.

- Evidence-Based Debate: You will present arguments supported by evidence and reasoning, not personal attacks, misinformation or bad-faith provocation.

- No Religious or Casteist Harm: You will not make statements designed to demean any religion, caste, sect, spiritual belief or its adherents.

- Legal Compliance: Your content must comply with applicable laws in your jurisdiction and in England and Wales. You accept sole legal responsibility for your contributions.

- No Misinformation: You will not knowingly spread false information, fabricated statistics or misleading content.

- Moderation Acceptance: You acknowledge GyaanBato's right to remove content, issue warnings, restrict posting privileges or suspend accounts where these standards are not met.

CIC Note: As a CIC, our community standards are central to our community interest purpose, not merely contractual terms. Maintaining a respectful, evidence-based community directly advances our mission of making quality knowledge accessible to everyone.

5. CONTENT LICENCE AND INTELLECTUAL PROPERTY

5.1 Our Content

All Reports, articles, graphics, data visualisations, logos, software and trademarks on the Platform are the intellectual property of GyaanBato CIC or its licensors, protected by UK and international copyright, trademark and database right law. The GyaanBato name and branding are proprietary. No intellectual property rights are transferred to you by these Terms.

5.2 Licence Granted to You

Subject to these Terms and any applicable payment, we grant you a limited, non-exclusive, non-transferable, revocable personal licence to access and download Reports for your own private, non-commercial, informational use only.

5.3 Permitted Uses

- Read and download Reports for your personal reference and study.

- Quote short extracts (under 50 words) with clear attribution to GyaanBato and a hyperlink to the source Report.

- Share links to individual Report pages on social media or in correspondence.

- Cite GyaanBato reports as a source in academic or professional work with proper referencing.

5.4 Prohibited Uses

- Redistribute, resell, sublicense or commercially publish any Report or extract without our prior written consent.

- Use Reports in products, services or outputs sold to third parties.

- Remove, alter or obscure any copyright, trademark or attribution notice.

- Scrape, crawl, or use automated tools to extract content in bulk.

- Share your paid access credentials with third parties.

- Reproduce Reports in training datasets for artificial intelligence systems without a separate licence.

6. PERMITTED AND PROHIBITED USES OF THE PLATFORM

You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. In particular, you must not:

- Use the Platform in any way that violates applicable local, national or international law or regulation.

- Attempt to gain unauthorised access to any part of the Platform or its underlying infrastructure.

- Introduce viruses, malware, spyware or any other malicious code.

- Use the Platform to transmit unsolicited commercial communications (spam).

- Impersonate any person, organisation or GyaanBato itself.

- Attempt to reverse engineer, decompile or disassemble any part of the Platform software.

- Use the Platform in any manner that could damage, disable, overburden or impair our systems.

- Harvest or collect personal data from the Platform without our express consent.

- Use the Platform to engage in or facilitate money laundering, fraud or any criminal activity.

7. PAYMENTS, PRICING AND CONTRIBUTIONS

7.1 Nature of Payments

Payments for paid and premium Reports are described as "contributions" to reflect the social enterprise nature of GyaanBato CIC. They are nonetheless legally binding commercial transactions for the supply of digital content. The use of the word "contribution" does not affect your statutory consumer rights.

7.2 Pricing and Currency

Prices are displayed in your selected currency, converted in real time from our base currency of Indian Rupees (INR) using live exchange rates. The actual amount charged will be in the currency selected at checkout. Prices are inclusive of any applicable taxes unless otherwise stated. VAT or local sales tax may be applied at the point of checkout where required by law.

7.3 Contribution Tiers

For paid Reports, we offer three voluntary contribution tiers: Standard (the base price), Support More (base price plus an additional amount directed to our Causes), and Patron (base price plus a larger additional amount). You are free to choose any tier. The Report delivered is identical at all tiers. The additional amounts in the Support More and Patron tiers are voluntary top-ups that go directly to our charitable Causes, consistent with our CIC community interest commitment.

7.4 Payment Processing

Payments are processed by third-party payment providers (Razorpay, Stripe or equivalent). We do not store, process or have access to your full payment card details. All payment processing is subject to the relevant provider's terms and privacy policy.

7.5 Refusal of Service

We reserve the right to refuse, cancel or reverse any transaction at our discretion, including where we have reason to believe payment is fraudulent or where the transaction violates these Terms.

8. DIGITAL CONTENT — CONSUMER RIGHTS

Under the Consumer Rights Act 2015, digital content supplied by GyaanBato CIC must be of satisfactory quality, fit for purpose and as described. Where digital content fails to meet these standards, you are entitled to a remedy. Please refer to our Refund Policy for full details.

Under the Consumer Contracts Regulations 2013, you ordinarily have a 14-day right to cancel a digital purchase. However, where you request immediate access to downloadable content and explicitly acknowledge that this cancels your 14-day withdrawal right, that right does not apply to that specific transaction. We obtain this acknowledgement at the point of purchase. Nothing in these Terms removes or restricts your statutory rights as a consumer under UK law.

9. CIC COMMUNITY INTEREST AND SOCIAL COMMITMENT

As a Community Interest Company, the following commitments are embedded in our articles of association and are legally binding on us, not merely aspirational:

- Community Benefit: Our primary purpose is the advancement of education and public knowledge. All commercial activities are subsidiary to and in service of this purpose.

- Revenue Commitment: A defined percentage of annual net revenues (after deduction of verified operating costs) is committed to qualifying charitable Causes focused on education and healthcare access for those in need. The precise percentage is stated in our annual Community Interest Report.

- Asset Lock: On winding up or dissolution, any assets remaining after discharge of liabilities will be transferred to another asset-locked body with similar community purposes. Assets may not be distributed to members or directors.

- No Profit Distribution: GyaanBato CIC does not pay dividends. Any surplus generated is reinvested in the mission or directed to Causes.

- Annual Community Interest Report: We file an annual Community Interest Report with the CIC Regulator, published on our website, detailing the community benefit delivered, Causes funded and amounts donated. This report is a statutory requirement.

- CIC Regulator Oversight: The CIC Regulator (part of Companies House) has powers to investigate complaints, appoint directors and wind up CICs that fail their community interest commitment. Users who believe we have failed our community interest commitment may raise concerns with the CIC Regulator.

10. USER-GENERATED CONTENT AND DEBATES

The Debates section allows Registered Users to contribute posts, arguments and comments. By posting any content on the Platform, you:

- Grant GyaanBato CIC a worldwide, royalty-free, non-exclusive, sub-licensable licence to use, reproduce, adapt, publish and display your content in connection with the Platform and our community interest activities.

- Confirm your content does not infringe any third-party intellectual property, privacy or other rights.

- Confirm your content complies with applicable law and these Terms, including the Community Pledge.

- Accept that GyaanBato may edit, moderate, remove or archive your content at any time.

- Retain ownership of your content, subject to the licence granted above.

We do not endorse any views expressed in user content. Debate posts represent the views of the individual contributor only. AI-generated summaries and verdicts on closed debates are analytical tools and do not represent GyaanBato's institutional position on any topic.

11. THIRD-PARTY LINKS AND SERVICES

The Platform may contain links to third-party websites, services and resources. These links are provided for convenience only. We have no control over, and accept no responsibility for, the content, privacy practices or availability of third-party sites. A link does not constitute an endorsement. You access third-party sites at your own risk and subject to their terms.

12. DISCLAIMERS AND LIMITATION OF LIABILITY

12.1 Content Disclaimer

GyaanBato Reports are research and analysis documents prepared in good faith for informational and educational purposes. They do not constitute financial, legal, medical, investment, professional or any other form of regulated advice. You should not rely on them as a substitute for advice from a qualified professional appropriate to your specific circumstances.

12.2 Limitation of Liability

To the maximum extent permitted by UK law, GyaanBato CIC's total aggregate liability to you arising under or in connection with these Terms shall not exceed the greater of: (a) the total amounts paid by you to GyaanBato CIC in the 12 months preceding the claim; or (b) fifty pounds (GBP 50).

We shall not be liable for: indirect, incidental, special, consequential or punitive losses; loss of profits or revenue; loss of data; loss of goodwill; or business interruption, whether arising in contract, tort (including negligence) or otherwise.

12.3 Non-Exclusion

Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any liability that cannot be limited or excluded under applicable law, including rights under the Consumer Rights Act 2015; or any liability arising from our obligations as a CIC under the Companies (Audit, Investigations and Community Enterprise) Act 2004.

13. TERMINATION AND SUSPENSION

We may suspend or terminate your account and access to the Platform at any time, with or without notice, if we reasonably believe you have breached these Terms, the Community Pledge or any applicable law. On termination: your licence to use downloaded content is revoked; your coin balance is forfeited; and you remain bound by provisions that by their nature survive termination (including Sections 5, 9, 12 and 15).

You may close your account at any time by contacting info@gyaanbato.com. Closure does not entitle you to a refund of Contributions already made, except as provided in our Refund Policy.

14. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in our services, legal requirements or best practice. Material changes will be communicated to Registered Users by email (where held) and by a prominent notice on the Platform for at least 30 days before the change takes effect. Continued use of the Platform after the effective date of changes constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you should stop using the Platform.

15. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms or the Platform shall be subject to the non-exclusive jurisdiction of the courts of England and Wales.

Consumers resident in Scotland, Northern Ireland, or other jurisdictions may also bring proceedings in their local courts. Users in the European Union may also access the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

We are committed to resolving disputes fairly and promptly. Before initiating formal proceedings, please contact us at legal@gyaanbato.com so that we can attempt to resolve the matter informally.
